Agreement on brandguide.io

The customer enters into a subscription agreement hereby granting the Client access to use brandguide.io. The Client can set up and manage their own tenant and brand(s).

Access to the solution

Last Friday will ensure that the solution is always available online and functional in modern browsers for the Client.

Last Friday will ensure its own monitoring and error notification of the solution, as well as address error inquiries from the Client during working hours (08:00-16:00, excluding weekends/public holidays).

In the event of an error, work on rectifying it will commence within 1 working day from the receipt of the error notification, limited to working hours (08:00-16:00, excluding weekends/public holidays).

Agreement Period (applicable to the agency’s clients)

The agreement is ongoing and indefinite for all clients, with an agreement period of one year at a time. Last Friday is obligated to renew the agreement for a new agreement period until termination is communicated by the client. The Client must agree to our current terms and conditions. Last Friday reserves the right to change these terms and conditions at any time.

The first agreement period begins upon the signing date.

Content of the Agreement

This agreement gives the customer access to brandguide.io. Through this agreement, the Client will be assigned their own tenant/brand(s).

With brandguide.io, the Client can manage their tenant/brand(s), including uploaded content.

The Client is responsible for ownership and copyright infringements upon uploaded content to their instance.

Price and Invoicing

Invoicing will be based on the current price list or as agreed upon between the Client and Last Friday.

Invoices are generally issued 2 months before the new agreement period begins, with a payment deadline of 14 days after the invoice date.

In case of delayed payment, a reminder may be issued with a reminder fee according to the Norwegian Act relating to Interest on Overdue Payments.

Last Friday reserves the right to make changes to current prices and individual discounts and is obligated to notify about price changes at least 2 months in advance, effective from the start of the new agreement period.

Last Friday cannot make changes to the subscription price for this agreement for the periods included in the binding period.

The subscription prices are exclusive of value added tax. The Client is responsible for any local taxes, such as the reverse charge (art. 195 to 198 of the EU VAT Directive).

Termination

Termination must be communicated to Last Friday by email at least one month before a new agreement period begins. The Client is responsible for exporting all content and data stored on the tenant before deletion.

We reserve the right at any time to terminate The Client and/or end-user(s) subscription should they fail to uphold their contractual obligations.

Limitation of Liability

Neither Last Friday, subcontractors, third parties, nor legal representatives can be held liable for direct or indirect loss or damage incurred by the Client(s)/end-user(s) or a third party in connection with the use of or inability to use the solution.

The limitation of liability applies regardless of cause and basis (including any consequences of system errors or new versions) and also includes negligence on the part of Last Friday.

Last Friday can only be held liable for reasonable and foreseeable direct economic losses resulting from gross negligence.

In any case, Last Friday’s full liability under all provisions of this agreement is limited to the amount the client(s)/end-user(s) has actually paid for the service in the affected agreement period, which forms the basis of the claim.

Claims for compensation must be made without undue delay.

Use in Marketing

Last Friday reserves the right to use the Client(s), as well as the end-user’s company name, including any logo, in public and advertising materials without prior consent.

The Client and their end-user(s) on the brandguide.io solution can opt-out of such use by notifying Last Friday in writing. Upon opting out, Last Friday is obliged to remove references to the Client from advertising materials to the extent possible, without undue delay.
